responsibilities
Your tasks will include:
Reviewing and negotiating a wide range of corporate and legal agreements, including articles of association, limited partnership agreements, service agreements, and shareholders agreements.
Preparing, reviewing, and supervising all corporate documentation required for board and shareholders meetings, and ensuring timely filings with the Luxembourg Trade and Companies Register and other competent authorities.
Overseeing the structuring, incorporation, and day-to-day management of Luxembourg investment vehicles, including SIFs, SICARs, RAIFs, SCSps, and related general partners.
Advising on and ensuring compliance with corporate governance obligations applicable to PSFs, and regulated entities.
Supporting the legal and regulatory responsibilities of fund entities AIFMD, AML/CFT, SFDR, and other applicable Luxembourg and EU regulatory frameworks.
Providing legal advice and practical guidance to senior management and cross-functional teams across the organization.
Managing and coordinating long-term legal projects, including the drafting and refinement of internal templates and the strategic review of contractual frameworks.
Monitoring and interpreting regulatory developments and assessing their implications for client structures and service delivery.
Liaising with external stakeholders, including law firms, notaries, banks, auditors, and the CSSF, to ensure smooth and compliant operations.
Collaborating with cross-departmental teams on client-specific files, ensuring timely, accurate, and compliant delivery of services.
Leading, guiding, and mentoring junior and senior staff, fostering a collaborative, high-performing, and client-focused team culture.
Contributing to the development and delivery of internal training on fund governance and regulatory matters.
Supervising cash collection processes, including invoice monitoring, follow-up, and close coordination with the finance team.
qualifications
Your Profile:
A university degree in Law, preferably with a specialization in corporate, financial, or business law.
7 to 10 years of experience in a legal or corporate role, ideally within a law firm, AIFM, PSF, or fiduciary company in Luxembourg.
Proven track record in managing client relationships and leading teams within a PSF, AIFM, or fiduciary environment.
Strong knowledge of Luxembourg company law (1915 Law) and fund regulatory frameworks, including AIFMD and the RAIF Law.
Fluency in English (written and spoken) is required; proficiency in French, Italian, or another EU language is a strong asset.
Solid understanding of corporate governance requirements, KYC/AML procedures, and regulatory compliance obligations.

Highly organized, solution-oriented, and able to manage multiple priorities in a client-facing environment.

Ability to contribute to business growth by identifying opportunities to enhance services and deepen client relationships.
Genuine interest in the investment fund industry, particularly private equity and alternative structures.
Demonstrated leadership and coaching abilities, with proven experience in mentoring and developing teams.
